Terms of Service

These Terms of Service ("Terms") govern your access to and use of 365clients ("Service"), operated by 365clients ("we", "our", or "us"). By creating an account or using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using 365clients, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of yourself or your organization, and agree to be bound by them.

2. Description of Service

365clients is a cloud-based CRM (Customer Relationship Management) platform designed for small businesses. Features include contact management, deal pipelines, activity tracking, team collaboration, and AI-powered tools.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized access.

4. Subscription and Billing

• 365clients offers a 14-day free trial. No credit card is required to start a trial.
• After the trial, continued use requires a paid subscription (Starter at $29.99/seat/mo or Pro at $59.99/seat/mo).
• Subscriptions are billed monthly or annually in advance.
• All payments are processed by Stripe. We do not store your payment details.
• Subscriptions automatically renew unless cancelled before the renewal date.
• Refunds are handled on a case-by-case basis. Contact us within 7 days of a charge if you believe it was made in error.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Upload or transmit malicious code, spam, or harmful content
• Attempt to gain unauthorized access to other users' data or our systems
• Reverse engineer or attempt to extract the source code of the Service
• Resell or sublicense access to the Service without our written permission
• Use the AI features to generate content that is deceptive, harmful, or illegal

6. Your Data

You retain full ownership of all data you input into 365clients (contacts, deals, notes, etc.). You grant us a limited license to store and process your data solely to provide the Service. We do not use your CRM data to train AI models or share it with third parties except as necessary to operate the Service.

7. Intellectual Property

The 365clients platform, including its software, design, and content, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice and will work to minimize downtime. We are not liable for losses resulting from service interruptions.

9. Termination

You may cancel your subscription at any time from the billing settings page. We may suspend or terminate your account if you violate these Terms, with or without notice depending on severity. Upon termination, your data is retained for 90 days before deletion.

10. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, secure, or meet your specific requirements.

11. Limitation of Liability

To the maximum extent permitted by law, 365clients shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.
